Terms of Service

Last Updated: October 6, 2026

These Terms of Service ("Terms") govern your access to and use of the OmniStore ERP platform, including the web application, APIs, and related services (collectively, "the Service" or "OmniStore"). Please read them carefully before using the Service.

By accessing or using the Service, you ("Customer", "you", or "your") indicate that you have read, understood, and agreed to be bound by these Terms. If you do not agree with all the terms, you are expressly prohibited from using the Service.

1. Acceptance and Agreement

These Terms constitute a legally binding agreement between you and the operator of OmniStore. By registering for, accessing, or using the Service, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy (incorporated by reference).

If you are entering into this agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not access or use the Service.

2. Account Registration and Security

To use most features of the Service, you must register for an account by providing accurate, current, and complete information during the registration process ("Account Information"). You agree to maintain the accuracy and completeness of your Account Information and immediately update any changed information.

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials, including usernames and passwords;
  • All activities that occur under your account, whether or not authorized by you;
  • Ensuring that your account is not shared with unauthorized users;
  • Notifying us immediately of any unauthorized use of your account or any other breach of security.

OmniStore is a multi-tenant platform. Each company ("Tenant") receives logically isolated data storage and user management. You may only access data and resources belonging to Tenants for which you have been granted explicit authorization.

3. Services and Access

Subject to these Terms, OmniStore grants you a limited, non-exclusive, non-transferable right to access and use the Service for internal business purposes only. This grant does not include the right to:

  • Resell or commercially redistribute the Service to third parties;
  • Use the Service to provide services to third parties without prior written authorization;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;
  • Interfere with or disrupt the Service or its servers;
  • Bypass any security features or access controls of the Service.

The Service is provided on a subscription basis per Tenant. Your access privileges are determined by your assigned role and the Tenant to which you belong.

4. Data, Multi-Tenancy, and Storage

As a multi-tenant platform, OmniStore logically isolates each Tenant's data. Your data remains your property. By using the Service, you grant OmniStore a license to use your data solely as necessary to provide the Service and as described in our Privacy Policy.

You are responsible for:

  • Backing up your critical data using the export functionality provided by the Service;
  • Ensuring that your data does not violate these Terms, including the Acceptable Use section;
  • Complying with all applicable data protection laws and regulations in your jurisdiction.

While OmniStore implements reasonable technical and organizational measures to protect your data, we cannot guarantee absolute security. You acknowledge that no method of electronic transmission or storage is 100% secure, and we cannot absolutely guarantee the security of your data.

5. Intellectual Property

All content, trademarks, logos, and other intellectual property displayed on or through the Service ("OmniStore IP") are the property of their respective owners and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any license or right to use any trademarks, logos, or service marks of OmniStore or its licensors without prior written permission.

You retain all rights to the content and data you create, submit, or store through the Service. You represent and warrant that you have all necessary rights to submit such content and that it does not infringe the rights of any third party.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right;
  • Upload, store, or transmit any content that is defamatory, obscene, harassing, or otherwise objectionable;
  • Upload viruses or other malicious code or harmful material;
  • Attempt to gain unauthorized access to any portion of the Service or its systems;
  • Use the Service in any manner that could disable, overburden, damage, or impair the Service;
  • Use any automated system or script to access the Service without express written permission;
  • Exceed authorized access or attempt to bypass access controls.

Any violation of this section may result in immediate termination of your access to the Service and may subject you to civil and/or criminal liability.

7. Third-Party Integrations

The Service may integrate with third-party services, including but not limited to TikTok (for Display Kit and content display features), payment processors, cloud providers, and other third-party platforms ("Third-Party Services"). Your use of Third-Party Services is governed by the terms and privacy policies of those third parties.

When you choose to connect your TikTok account to OmniStore using TikTok's OAuth-based Login Kit, you authorize OmniStore to access information associated with your TikTok account as permitted by TikTok's authorization process. This may include your TikTok user ID, display name, profile image, and a list of your recent TikTok videos. We only request the minimum scopes necessary: user.info.basic and video.list. We do not publish content to TikTok on your behalf.

OmniStore is not responsible for the acts or omissions of any Third-Party Services, nor do we endorse or guarantee their content, privacy practices, or accuracy. We encourage you to read the privacy policy and terms of use for each Third-Party Service before connecting.

8. Billing and Payment

Access to certain features, including multi-tenant expansion and advanced modules, may require payment of fees as described on the Service. Billing arrangements are handled directly between you and the account administrator. All payments are non-refundable except as required by law.

OmniStore reserves the right to modify fees at any time, provided that any fee changes will not take effect until the next billing cycle following the change, unless otherwise required by law or as mutually agreed.

9. Term and Termination

These Terms commence when you first access the Service and continue until terminated by either you or OmniStore. You may terminate your account at any time by contacting support, subject to any outstanding payment obligations.

OmniStore may suspend or terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, and at our sole discretion. Upon termination, we will cease providing the Service to you. We are not liable for any loss or damage that may result from our removal or termination of your access.

Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, and Governing Law) will remain in effect.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. THE SAME IS TRUE FOR ANY CONTENT, PRODUCTS, OR SERVICES THAT MAY BE PROVIDED BY THIRD PARTIES.

OMNISTORE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OMNISTORE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, REVENUE, BUSINESS, OR OTHER INTANGIBLE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO OMNISTORE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the applicable jurisdiction in which OmniStore operates, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms or the Service will be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the applicable jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. We encourage you to review these Terms periodically. Your continued use of the Service after any changes constitutes your acceptance of the revised terms. Material changes will be communicated through the Service or via email where reasonably possible.

14. Contact Information

If you have any questions about these Terms, please contact us through the support channels provided within the Service, or via the contact information available at https://omnistoreerp.com.
